for the ram, just get the cheapest DDR2-800 set there is. simple as that. latencies don't affect performance on intel setups that much and DDR2-800sdram should give you plenty of headroom to hit 4.0GHz and a bit higher... if worst comes to worst, just use DDR2-667 and go loose on the latencies and high on the voltage if needed also, any board which supports standard PDs and has a scaleable FSB should be fine for OCing the 805(805 runs on a lower FSB than the others), don't even bother with an SLi board if it costs... I'd find specific links but on my current system, it is a chore(on an old backup systemuntil I build a conroe system)

if you're overclocking that pentium d to around or past 3.5 Ghz, you will want/need at least 500 Watt (4.0 Ghz pentium d 805's have been show using 200 watts of power. not leaving you with much more for your other components.)
