I'd say the first one. it supports newer technolgogies and a higher FSB. make sure that the FSB on the board is adjustable though. I've seen cases where it isn't and it's a bitch because you just wasted your cash.
I'm assuming your goal is 700-800fsb right? putting the PD805 at around 3.6-4.0GHz again check that the FSB is scaleable(google) and see fi you can alter the voltage and ram timings.
http://www.newegg.com/Product/CustRatingRe...N82E16813131565 found reviews on newegg... doesn't support running ram in dual channel, if that's an issues then take note as runningin dual channel ona n etburst system gets a big performance boost over single channel. you allready have ram? if so it might not matter, if not then this si not the board for you.
